Terms of Service

The below Terms of Service (these "Terms"), our Privacy Policy, and Data Processing Agreement ("DPA") are listed publicly as such and should be read in its entirety as they govern your use of resources on our websites, and the respective Shuffl service (thereforth known as the "Service", "Product", or "Bot").

Agreement to Terms

These Terms, including the mandatory arbitration provisions, are a contract between our Customer and Shuffl LLC, the provider of the Service (which we refer to in these Terms as "Shuffl," "we" or "us"). Our "Customer" is either (i) the initial individual subscriber for the Service who invites other individuals to join the initial subscriber’s group to use the Service, where that group of individuals is not part of the same business or organization, or (ii) a business or organization, where an individual initiates a subscription for the Service on behalf of that business or organization, providing an email address using the domain of such business or organization. When we refer to "you" in these Terms, we are referring to the Customer.

The individual who initiates a subscription for a Customer is considered the "Administrator" for the Customer. Any reference to "You" in these Terms is in regards to the person assigned as the Administrator. The Customer may elect to change the Administrator, periodically and is subject to inform Shuffl if the contact is to be changed. The Administrator and other individual(s) using the Service under a Customer’s subscription are referred to in these Terms as a "User" or "Users." The initial Administrator represents and warrants to us, on behalf of the Customer, that such Administrator has the authority to bind the Customer to these Terms as outlined below. By using the Service, the Customer acknowledges and agrees that it shall be legally bound by these Terms. The Administrator shall ensure that all Users are notified of these Terms, including the User Guidelines set forth below. If the Customer does not agree to be bound by the Terms as outlined, they may not access, use the website, or Service.

By using the Service, wherein a Customer’s usage is defined as completing the account registration process, browsing the website, and/or adding the Service to the Customer’s respective Slack workplace, the Customer and all of its Users (1) acknowledge, (2) read, and (3) accept all provisions as stated below in our Terms, our Privacy Policy, and DPA which describes the information and data we obtain from you and your Users, and how we use it.

You agree that by accessing the Service, you have read, understood, and agree to be bound by all of these Terms of Use.

IF YOU DO NOT AGREE WITH ALL OF THESE TERMS OF USE, THEN YOU ARE EXPRESSLY PROHIBITED FROM USING THE SITE AND YOU MUST DISCONTINUE USE IMMEDIATELY.

Modification of these Terms

We may modify these Terms at any time, in our sole discretion, as new features, technology, or legal requirements arise, so please check back periodically. You may always determine if the Terms have changed by checking the Last Updated Date at the top of these Terms. If we update these Terms, you are free to decide whether to accept the updated terms or to stop using the Service; your continued use of the Service after the effectiveness of that update will be deemed to represent your agreement with, and consent to be bound by, the new Terms. Please review the Cancellation of a Service Subscription for instructions on how to cancel your subscription. Except for changes made by us as described here, no other amendment or modification of these Terms shall be effective unless set forth in a written agreement expressly amending these Terms and bearing a written signature by you and us. For clarity, email or other communications will not constitute an effective written agreement for this purpose.

Accessing the Service

The Administrator has certain responsibilities on behalf of a Customer.

Obtaining a Subscription

The Administrator must obtain and maintain a subscription for the Customer and its Users to access and use the Service. A subscription is obtained by the Administrator through the organization’s Slack account (a "Third Party Service"). We offer the Service in both a free subscription plan with outlined restrictions, and a paid subscription plan. During the account registration process, the Administrator must elect to choose for their organization. Please note the restrictions on both the free, and paid subscription plan, which is currently based on the total number of unique Users that the Service is interacting with in the Third Party Service, which is tiered respectively in bucket increments. If the organization exceeds the total User counts as defined in the restrictions, we reserve the right to contact the Administrator to modify the respective subscription service to reflect the appropriate usage, or terminate the Service if no compromise can be made. If cancellation is the resulting outcome, we will adhere to the cancellation policy as outlined in the below "Term and Termination" section.

We will then create the respective Customer account by extracting from your Third Party Service only the necessary information regarding you and your Users, from the Third Party Service will permit us to obtain. Shuffl refers to this data we obtain from the Third Party Service as "Customer Data." Please contact us at support@shuffl.ai for more information.

A Customer subscription is completed when we accept the Customer request for the respective desired subscription plan and when we make the Service available to the Customer and its Users. This shall remain in effect for the period of time specified in the Customer account settings as applicable, or until any earlier termination according to these Terms. Unless otherwise established during the sign-up process, you may be eligible to use the Service for an initial free trial subscription, of which the time period will be clearly listed in your account settings page, before purchasing a subscription. Please review the website’s Pricing Page for additional information regarding subscription pricing, and its specific terms and conditions.

Eligibility

The Administrator shall ensure that all Users are 18 years of age or older, and are authorized by the Customer to use the Service. The Service is not directed to minors, or anyone under 18 years of age. We trust the Administrators to ensure minors do not use the Service. We do not knowingly collect personal information from minors and, if we learn that we have inadvertently obtained information in violation of applicable laws prohibiting collection of information from minors, we will promptly delete it and provide the respective log files to confirm the destruction process.

Compliance

It is the Administrator’s duty and responsibility to ensure that all Users within their organization adhere to our User Guidelines, as stated below. In addition, the Administrator shall ensure that all Users comply with the Customer’s policies and legal obligations, as we do not assume any responsibility for actions taken, or omissions by, Users when using the Service.

Payments

All paid subscriptions other than a free trial must be paid for in advance, and the Administrator shall ensure the Customer pays the amount we specify at our Pricing Page at the time of the initial subscription and each renewal period thereafter. The Administrator shall also ensure the Customer complies with our Commercial Terms, as outlined below.

Providing the Service

Availability

Shuffl makes a commitment to ensure that the Service is highly available for all periods of the day as defined as 24 hours a day, 7 days a week, except for unexpected downtime. The only expected periods of unavailability will be for brief functional updates to the Service, of which long outages of more than 1 hour will be clearly communicated to our customers. We do not expect frequent expected periods of unavailability with regards to running our Service. Regardless, we do not offer any guarantee that the Service will be offered indefinitely or available for all periods of time. We offer live tracking of our service health, please contact us for details.

Modifications

We retain the right, in our sole discretion, to modify the Service at any time, with or without notice, including modifications that may affect the previous mode of operation of the Service or an integration with a Third Party Service. Any modifications to the Service will be done to improve the overall quality and function of said Service, but it is possible that you may not agree with us. We reserve the right to change the Customer Data we require from you to maintain your subscription or utilize certain features of the Service.

Support

With respect to the usage of the existing Service, our team will make the best effort in response quality and timeliness to answer support related questions. In the event of modifications that require additional guidance, we will make public documentation available of new features on timelines that are reasonable should Service functionality greatly differ from previous said functionality.

Trial

We may offer a trial period of our subscription services in which its features, usage, and period length is solely in our discretion to provide or terminate without notice. By agreeing to trial our services, you acknowledge that your usage is based on real-world use for real people and not for testing our platform in sandbox or dev environments beyond what we consider reasonable usage. If testing is the use case and the users added into our platform are systematically generated or not real user accounts, we will terminate the trial. We reserve the right to end the trial immediately and we will notify you of the change in your subscription. Please reach out to our team if your main purpose during the trial period is performance testing as we can provide performance data and metrics to validate any concerns during your evaluation process.

Term and Termination

The term of your subscription and rights to use the Service will terminate on the earlier of (i) notice of termination by Shuffl to you, or you to Shuffl, at any time. If we terminate your right to use the Service prior to the end of the then-current subscription term without cause (i.e., you, including your Administrator and Users, are not in violation of these Terms), Shuffl shall refund the applicable pro rata portion of any fees paid by you for the portion of the subscription term after the date of termination. In all other circumstances, including termination by Shuffl on account of any violation of these Terms, the termination of the right to use the Service shall not require any refund of subscription fees paid to Shuffl.

If we believe that there is a violation of the Terms as outlined below that may be remedied by the Customer’s action, we may ask Customer to resolve the problem. We reserve the right to take what we determine to be appropriate action where Customer does not promptly remediate the problem, or if we believe there is a risk of harm to us, the Service, users, a third party service in direct relationship with the Service, or we believe we have a legal obligation to act.

Ownership of the Service

Subject to Customer’s ownership of Customer Data (as defined below), Shuffl owns all right, title and interest in and to the Service, including all images, text and other content provided or made available to you by Shuffl within, or in conjunction with, the Service, and all associated intellectual property rights therein. You acknowledge that the Service is protected by copyright, trademark, and other laws of the United States and foreign countries. You agree not to remove, alter or obscure any copyright, trademark, service mark or other proprietary rights notices incorporated in or accompanying the Service. Shuffl hereby grants to you a non-transferable, non-exclusive license right to access and use the Service, and to permit your Users to access and use the Service, in accordance with these Terms, during the term of your subscription. Except for this license, Shuffl retains all rights, title and interests in the Service.

Customer Data

Ownership

You permit Shuffl to access, process and use a variety of data when you use the Service. When you use Shuffl with a Third Party Service (such as Slack), we obtain access to the data loaded into or stored in such Third Party Service by your organization’s users of such Third Party Service (collectively, the "Third Party Service Data"). When your Users communicate with our Service, our Service stores such communications to improve the quality of the Service provided. As between Customer and Shuffl, you shall be deemed the owner of the Third Party Service Data. For more information about the Customer Data we obtain and how we use it, please review our Privacy Policy as listed.

You are solely responsible for all your Customer Data. You represent and warrant that you own all your Customer Data, or you have all rights that are necessary to grant us the below Operations License under these Terms. You also represent and warrant that neither your Customer Data, nor your use and provision of your Customer Data through the Service, nor any use of your Customer Data by Shuffl on or through the Service will infringe, misappropriate or violate a third party’s intellectual property rights, or rights of publicity or privacy, or result in the violation of any applicable law or regulation.

Grant of Operations License

In order for us to legally process Customer Data in the manner required to provide the Service, you must grant Shuffl certain rights with respect to Customer Data so that technical processing to operate the Service are not considered legal violations. As an example, we require the ability to collect, store, process, and transmit your Customer Data the resulting User pairings that are calculated by the Service. Accordingly, you hereby grant Shuffl a non-exclusive, transferable, sublicensable, worldwide, royalty-free license to use, copy, modify, create derivative works based upon, distribute, publicly display, publicly perform and distribute your Customer Data in connection with operating and providing the Service to you, only for the purpose of providing the Service, and for no other purpose (the "Operations License"). You agree that the Operations License granted to us may be extended by us to our Service Providers to the degree necessary in order for the Service to be provided.

Customer Data Security and Protection

The protection of Customer Data is of the highest priority for us. As such, we have planned and implemented the appropriate safegrounds to ensure the security of transmission and storage of Customer Data by the Service. In addition to selecting the appropriate technical safeguards to prevent unauthorized access of Customer Data, we routinely ensure the highest standards are met to maintain its confidentiality, privacy, security, and protection. However, Customer acknowledges and agrees that Customer and not Shuffl bears sole responsibility for adequate security, protection and backup of Customer Data in the possession or control of Customer or a Third Party Service (including Customer’s and such third-parties’ personnel and other representatives or agents), or when Customer chooses to use unencrypted gateways to connect to the Service.

Commercial Terms

Pricing

For all paid subscription(s) associated with the Service, except for any free trial period, or any other exception we may grant from time to time, you must pay the subscription price specified and agreed to for the Service on our Pricing Page. Payment obligations are non-cancelable and, except as expressly stated in these Terms, fees paid are non-refundable.

Fees stated are exclusive of any taxes, levies, duties, or similar governmental assessments of any nature, including, for example, value-added, sales, use, or withholding taxes, assessable by any jurisdiction (collectively, "Taxes"). You will be responsible for paying all Taxes associated with your subscription, except for those taxes based on our net income.

Billing

Shuffl bills our subscription based on usage of our services, calculated by the number of unique Users we provide our service to during the billing period. Our invoices will be automatically delivered via email through Stripe and processed at the end of the billing cycle with the usage as outlined to the Administrator, or another contact who has payment authorization on behalf of the Customer as instructed by said Administrator. Usage metrics can be reviewed on our website at https://app.shuffl.ai in the Billing section.

Annual Terms

Shuffl provides annual subscriptions to our paid service with discounts offered for upfront payment at the tier level of usage that the Customer selects. For the latest on pricing and discounts available for annual subscriptions, please visit our Pricing Page. If a customer exceeds their usage levels in a monthly period, we reserve the right to invoice any excess usage as calculated by the difference in tier usage levels.

Example: Customer signs up for an annual subscription with upfront payment for service usage levels of 300 Users on January 1 ,2020. As of the current pricing, the respective monthly fee is $450 for that usage level and the promotion for an annual subscription is two months free off the total price. Thus, Customer would pay $4,500 for the annual subscription. If the Customer exceeds usage levels to 400 Users on June 15, 2020, and resumes back to 300 Users usage levels by July 15th, 2020, we will invoice the difference between the usage tiers for that month, which would be $150 as the 400 Users usage level tier is priced at $600 monthly.

Auto Renewal

The Service provided includes all subscriptions that automatically renew on a perpetual basis unless explicitly cancelled through account cancellation. For paid subscriptions, you must self-serve your action to cancel the automatic renewal process prior to the end of the subscription term to stop the subscription from automatically renewing; if you do so, your right to use the Service shall terminate at the end of the then-current subscription term. Please cancel your subscription more than 24 hours before your renewal date to ensure sufficient processing time by our payment processor.

Payment Methods

Shuffl accepts ACH transfers, and certain debit and credit cards as acceptable payment methods for the Service (each, an "Accepted Payment Method"), subject to the procedures and rules contained in these Terms and any applicable contract with the provider of the Accepted Payment Method. Accepted Payment Methods may vary by country or by certain features of the Service and may change from time to time. When you purchase with an Accepted Payment Method, the fees for your Service will be billed on or near the date of your purchase. You agree that we may process your Accepted Payment Method on each monthly, annual or other renewal term (based on the applicable subscription term), on or near the calendar day corresponding to the commencement of your Service subscription, as applicable. See "Cancellation" below for information on how to cancel a Service subscription.

In order to facilitate the charging and payment for your subscription, you agree that we have permission to retain and/or share with financial institutions and payment processing firms (including any institutions or firms we retain in the future) information regarding your purchase and your submitted payment information in order to process your payment, and to use your Customer Information, such as email contact or phone number, to provide you with notices and disclosures relating to renewals and recurring charges. If your Service subscription began on a day not contained in a subsequent month (e.g., your service began on May 31st, and there is no June 31st), Shuffl will process your payment on or near the last day of such month.

Price Changes

We may change the price of any Service from time to time, and add new fees and charges for certain features or to reflect a change in business or legal rules, but we will provide you with advance notice of changes in recurring subscription fees. Any increase in charges for the same Service would not apply until the expiration of your then current subscription term, unless otherwise specifically provided in our notice to you, and would become effective no sooner than the next time you would be charged for that Service. If you do not agree to pay the new price or other applicable charges, you may elect not to renew the Service subscription before the price change goes into effect, which cancellation would be effective at the expiration of your then current subscription term. See "Cancellation" below for information on how to cancel your subscription.

Paying our Payment Processor

When you purchase the Service, you are granting Shuffl the irrevocable right and permission with respect to such purchase to provide your personal data and payment information to any third-party payment processor we contract with (such as Stripe and/or one of its financial service providers) on your behalf, and to grant such firm(s) (and/or one of their respective financial service providers) the rights to collect, use, retain, and disclose such data and information. In addition, you authorize Shuffl to (i) obtain and verify your identity as necessary to complete financial transactions, and (ii) determine your eligibility and authority to complete such purchase.

Please note that your obligation for payment to, and relationship with, such payment processor is a contractual matter between you and such third-party; Shuffl is not a party to, or responsible on account of, such contract. While we select our payment processors carefully and enter into detailed agreements imposing performance obligations (including confidentiality) on them, we cannot and do not guarantee their performance. If you have any concerns or problems with a payment processor, please contact us at billing@shuffl.ai.

Changes to Payment Methods and Account Information

You are responsible for ensuring that your Customer Information, including all payment information (address, debit or credit card number and expiration date), is accurate and up to date. You may change this information at any time by logging into your account through the Shuffl website at https://app.shuffl.ai, accessing your account page and making the changes or by contacting support@shuffl.ai. If you have any issues making any change to the payment method, you must notify us by contacting billing@shuffl.ai.

If your credit card expires or the information is otherwise invalid, or you or another party controlling the payment method make changes to your billing account too close in time to when we charge for the Service subscription (so we cannot reasonably act on your changes prior to billing), we will probably not be aware of this, and we will bill the current charges to the card we had on record; the continuation of your Service subscription constitutes your authorization for us to do so, and you remain responsible for any uncollected amounts and any charges incurred by you or us as a result of billing to an invalid card or other payment method.

Cancellation of a Service Subscription

You may elect to cancel your subscription to the Service at any time. Except as otherwise provided in these Terms, any cancellation of the Service will be effective as of the end of the then-current subscription term. If you desire to cancel or downgrade your paid subscription for the Service, you can elect to do so via self-serve on the billing section in https://app.shuffl.ai. If you are using the Service with a paid subscription during any trial period without charge, and we have provided that you will be charged a subscription fee at the end of the trial period, you must cancel the Service prior to the end of the trial period in order to avoid incurring the charges for the paid subscription.

We may cancel any Service subscription you have purchased if you fail to pay the applicable subscription fee and any applicable Taxes in full and in a timely manner according to these Terms or any agreement with a payment processor. A failure to pay occurs in any situation where Shuffl has not received timely payment, including where any credit card issuer or payer bank refuses to transmit the funds that are then due, or the payment processor you have contracted with notifies us of your failure to pay. We may, in our discretion, elect not to cancel a Service subscription immediately for non-payment, in which case you will continue to be responsible for the fees due for the duration of the applicable subscription. In addition, if you fail to pay for a Service, we may elect to suspend your rights to use that Service or we may change the type of Service you have to a non-paid version of the Service, if applicable. We will endeavor to provide you notice promptly after any failure to make a payment to us in full and on time, but we are not obligated to do so.

Costs of Collection; Credit Card Chargebacks

In addition to the published fees for the Service, you agree to pay any reasonable costs we incur to collect any unpaid or past due amounts, including reasonable attorneys' fees and other associated costs. Delinquent payments will bear interest at the rate of 1% per month or the highest rate permitted under applicable law, whichever is less, from the payment due date until paid in full. If you purchase a Service subscription with a credit card and then subsequently request your credit card issuer to reverse that payment, Shuffl may be charged a fee. Accordingly, in order to enable you to pay fees with a credit card, you acknowledge and agree that we reserve the right to suspend your ability to use the Service until such time as you reimburse us the amount of the fee we were charged by the card issuer.

Pausing your Service

For pausing the paid subscription service, please reach out to support@shuffl.ai. In both cancellation and pausing scenarios, access to paid features will remain until start of the next billing period, at which point the levels and features for the free version of Shuffl will apply.

Credits and Refunds

If you feel that your opportunity to use the Service was unreasonably diminished due to any modification of the Service, you may contact Shuffl billing by emailing billing@shuffl.ai to request a refund. Shuffl is under no obligation to provide such a refund or credit, and the amount of any such refund or credit shall be determined by Shuffl in its discretion.

User Guidelines

You agree to ensure that Users shall not do any of the following:

  • Post, upload, publish, submit or transmit any Customer Data that: (i) infringes, misappropriates or violates a third party’s patent, copyright, trademark, trade secret, moral rights or other intellectual property rights, or rights of publicity or privacy; (ii) violates, or encourages any conduct that would violate, any applicable law or regulation or would give rise to civil liability; (iii) is fraudulent, false, misleading or deceptive; (iv) is defamatory, obscene, pornographic, vulgar or offensive; (v) promotes discrimination, bigotry, racism, hatred, harassment or harm against any individual or group; (vi) is violent or threatening or promotes violence or actions that are threatening to any person or entity; or (vii) promotes illegal or harmful activities or substances;
  • Use, display, mirror or frame the Service or any individual element within the Service, Shuffl’s name, any Shuffl trademark, logo or other proprietary information, or the layout and design of any page or form contained on a page, without Shuffl’s express written consent;
  • Access, tamper with, or use non-public areas of the Service, Shuffl’s computer systems, or the technical delivery systems of Shuffl’s providers;
  • Attempt to probe, scan or test the vulnerability of any Shuffl system or network or breach any security or authentication measures;
  • Avoid, bypass, remove, deactivate, impair, descramble or otherwise circumvent any technological measure implemented by Shuffl or any of Shuffl’s providers or any other third party (including another user) to protect the Service or Customer Data;
  • Attempt to access or search the Service or Customer Data or download Customer Data from the Service through the use of any engine, software, tool, agent, device or mechanism (including spiders, robots, crawlers, data mining tools or the like) other than the software and/or search agents provided by Shuffl or other generally available third-party web browsers;
  • Send any unsolicited or unauthorized advertising, promotional materials, email, junk mail, spam, chain letters or other form of solicitation;
  • Use any meta tags or other hidden text or metadata utilizing a Shuffl trademark, logo URL or product name without Shuffl’s express written consent;
  • Use the Service or Customer Data, or any portion thereof, for any purpose contrary to Customer’s policies or requirements, or in any manner not permitted by these Terms;
  • Forge any TCP/IP packet header or any part of the header information in any email or newsgroup posting, or in any way use the Service or Customer Data to send altered, deceptive or false source-identifying information;
  • Attempt to decipher, decompile, disassemble or reverse engineer any of the software used to provide the Service or Customer Data;
  • Interfere with, or attempt to interfere with, the access of any user, host or network, including, without limitation, sending a virus, overloading, flooding, spamming, or mail-bombing the Service;
  • Collect or store any personally identifiable information from the Service from other users of the Service without their express permission;
  • Impersonate or misrepresent your affiliation with any person or entity;
  • Violate any applicable law or regulation; or
  • Encourage or enable any other individual to do any of the foregoing.

Although we’re not obligated to monitor access to or use of the Service or Customer Data or to review or edit any Customer Data, we have the right to do so for the purpose of operating the Service, to ensure compliance with these Terms, and to comply with applicable law or other legal requirements. We reserve the right, but are not obligated, to remove or disable access to any Customer Data stored within the Service, at any time and without notice, including, but not limited to, if we, at our sole discretion, consider any Customer Data to be objectionable or in violation of these Terms. We have the right to investigate violations of these Terms or conduct that affects the Service. We may also consult and cooperate with law enforcement authorities to prosecute users who violate the law.

Warranty Disclaimers

You acknowledge that a variety of actions we take or allow to occur may impair or prevent you from accessing your Customer Data or using the Service at certain times and/or in the same way, for limited periods or permanently, and agree that Shuffl has no responsibility or liability as a result of any such actions or results, including, without limitation, for the deletion of, or failure to make available to you, any Customer Data. You agree that we shall not be liable to you or to any third party for any modification, suspension or discontinuance of any part of the Service. However, if you are a subscriber for the paid subscription of the Service (a "Paid Service"), and find that any such modifications or interruption of the Paid Service adversely affects you, you may notify our Support team at support@shuffl.ai, and explain the adverse impact the modification has created and, if you desire, request a termination of your Paid Service. Upon receipt of any such request, we will endeavor to promptly remedy the adverse impact caused by the modification, extend the duration of your Paid Service subscription for a period of time equal to the interruption and/or refund a portion of your Paid Service subscription fee equal to the remaining unused term of the Paid Service subscription, as we determine appropriate or as may be required by applicable law.

The Service is designed to work with multiple Third Party Service providers, but we may not have control over how our Service integrates from time to time with such services, and we do not control the operation of those services. Accordingly, you acknowledge and agree that (i) we are not responsible for the performance of such Third Party Services or other third party services we may reference or provide links to, including, without limitation, their use or treatment of your data therein; (ii) we are not responsible or liable for any content or other materials generated by such services or applications; (iii) we are not responsible for any technical inability to access Customer Data in such services via our Service; and (iv) we shall not be responsible or liable, directly or indirectly, for any damage or loss caused or alleged to be caused by or in connection with use of or reliance on any such services or applications. Please ensure you have read and understand the applicable terms of service and privacy policy for each other service. You acknowledge sole responsibility for and assume all risk arising from, your use of any third-party websites or resources.

THE SERVICE AND CUSTOMER DATA ARE PROVIDED "AS IS," WITHOUT WARRANTY OF ANY KIND. WITHOUT LIMITING THE FOREGOING, WE EXPLICITLY DISCLAIM ANY WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, QUIET ENJOYMENT OR NON-INFRINGEMENT, AND ANY WARRANTIES ARISING OUT OF COURSE OF DEALING OR USAGE OF TRADE. We make no warranty that the Service will meet your requirements or be available on an uninterrupted, secure, or error-free basis. We make no warranty regarding the quality, accuracy, timeliness, truthfulness, completeness or reliability of any Customer Data.

Indemnity

To the maximum extent permitted by applicable law, you will indemnify and hold harmless Shuffl and its members, officers, directors, employee and agents, from and against any claims, disputes, demands, liabilities, damages, losses, and costs and expenses, including, without limitation, reasonable legal and accounting fees arising out of or in any way connected with (i) your access to or use of the Service or Customer Data, (ii) your Customer Data, or (iii) your violation of these Terms.

Limitation of Liability

NEITHER SHUFFL NOR ANY OTHER PARTY INVOLVED IN CREATING, PRODUCING, OR DELIVERING THE SERVICE WILL BE LIABLE FOR ANY INCIDENTAL, SPECIAL, EXEMPLARY OR CONSEQUENTIAL DAMAGES, INCLUDING LOST PROFITS, LOSS OF DATA OR GOODWILL, SERVICE INTERRUPTION, COMPUTER DAMAGE OR SYSTEM FAILURE OR THE COST OF ANY SUBSTITUTE SERVICE ARISING OUT OF OR IN CONNECTION WITH THESE TERMS OR FROM THE USE OF OR INABILITY TO USE THE SERVICE, WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), PRODUCT LIABILITY OR ANY OTHER LEGAL THEORY, AND WHETHER OR NOT SHUFFL HAS BEEN INFORMED OF THE POSSIBILITY OF SUCH DAMAGE, EVEN IF A LIMITED REMEDY SET FORTH HEREIN IS FOUND TO HAVE FAILED OF ITS ESSENTIAL PURPOSE. SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF LIABILITY FOR CONSEQUENTIAL OR INCIDENTAL DAMAGES, SO THE ABOVE LIMITATION MAY NOT APPLY TO YOU.

IN NO EVENT WILL SHUFFL’S TOTAL LIABILITY ARISING OUT OF OR IN CONNECTION WITH THESE TERMS OR FROM THE USE OF OR INABILITY TO USE THE SERVICE EXCEED THE AMOUNT YOU HAVE PAID TO SHUFFL FOR USE OF THE SERVICE DURING THE THEN-CURRENT OR MOST RECENT SUBSCRIPTION TERM OR ONE HUNDRED DOLLARS ($100), IF YOU HAVE NOT HAD ANY PAYMENT OBLIGATIONS TO SHUFFL, AS APPLICABLE.

THE EXCLUSIONS AND LIMITATIONS OF DAMAGES SET FORTH ABOVE ARE FUNDAMENTAL ELEMENTS OF THE BASIS OF THE BARGAIN BETWEEN SHUFFL AND YOU.

Dispute Resolution

Governing Law

These Terms and any action related thereto will be governed by the laws of the State of Washington without regard to its conflict of laws provisions. Exclusive jurisdiction and venue for actions related to these Terms or your use of the Service will be the state and federal courts located in King County, Washington, United States, and both parties consent to the jurisdiction of such courts with respect to any such actions.

Alternative Dispute Resolution Process

Unless you are subject to the Mandatory Arbitration Provisions set out below, and subject to any applicable laws, if a claim arises between you and Shuffl where the total value of such claim is less than US$10,000, the party initiating the claim may elect to have the dispute resolved pursuant to a binding arbitration process that does not require attendance in person. This "Alternative Dispute Resolution Process" shall be initiated by either of us sending notice to the other, in which event you and Shuffl agree to use our reasonable efforts to agree within thirty (30) days upon an individual or service to manage the Alternative Dispute Resolution Process (the "Arbitration Manager") according to the following requirements: (i) neither party shall be required to attend any proceeding in person, (ii) the proceeding will be conducted via written submissions, telephone or online communications or as otherwise agreed upon, (iii) the fees for the Arbitration Manager will be borne equally by the parties or be submitted to the Arbitration Manager to determine as part of the dispute and (iv) the judgment rendered by the Arbitration Manager may be entered in any court of competent jurisdiction for enforcement.

If you are a resident of the European Union (EU), please note that we offer this Alternative Dispute Resolution Process, but we cannot offer you the European Commission Dispute Platform as we do not have an establishment in the EU.

Mandatory Arbitration Provisions

If you reside in the United States or are otherwise subject to the US Federal Arbitration Act, you and Shuffl agree to resolve any claims relating to these Terms or the Service - except any dispute relating to the enforcement or validity of intellectual property rights - through final and binding arbitration by a single arbitrator, except as set forth under Exceptions to Agreement to Arbitrate below. This includes disputes arising out of or relating to interpretation or application of this "Mandatory Arbitration Provisions" section, including its enforceability, revocability, or validity. The Federal Arbitration Act governs the interpretation and enforcement of these Mandatory Arbitration Provisions.

You can decline this agreement to arbitrate by contacting us at legal@shuffl.ai and clearly stating your election to opt out of arbitration, and providing the Customer name, email and physical addresses, within 30 days of the Customer first subscribing for the Service.

The American Arbitration Association (AAA) will administer the arbitration under its Commercial Arbitration Rules and the Supplementary Procedures for Consumer Related Disputes (to the extent applicable), as modified by these Mandatory Arbitration Provisions. You may review those rules and procedures, and obtain a form for initiating arbitration proceedings at the AAA's website. The arbitrator will decide the substance of all claims in accordance with the laws of the State of Washington, including recognized principles of equity, and will honor all claims of privilege recognized by law. The arbitrator's award shall be final and binding and judgment on the award rendered by the arbitrator may be entered in any court possessing jurisdiction over the parties, except for a limited right of appeal under the Federal Arbitration Act.

The arbitration will be held in the United States county where you live or work, Seattle (WA), or any other location we agree to. If, however, the value of the relief sought is US$10,000 or less, either of us may elect to have the arbitration conducted by telephone or based solely on written submissions, which election shall be binding on us, subject to the arbitrator's discretion to require an in-person hearing. Attendance at an in-person hearing may be made by telephone by you and/or us, unless the arbitrator requires otherwise.

The AAA rules will govern payment of all arbitration fees. If the amount of the claim exceeds US$10,000 and you are able to demonstrate that the costs of arbitration will be prohibitive as compared to the costs of litigation, Shuffl will pay as much of the filing, administration and arbitrator fees as the arbitrator deems necessary to prevent the arbitration from being cost-prohibitive. If the arbitrator determines the claim(s) you assert in the arbitration are frivolous, Shuffl will not pay any of your fees and, if Shuffl has paid any of your fees, you agree to reimburse Shuffl for all such fees associated with the arbitration paid by Shuffl on your behalf, which you otherwise would be obligated to pay under the AAA's rules.

We agree with you that there shall be exceptions to the requirement to resolve disputes under the Mandatory Arbitration Provisions, as described in this paragraph. Either you or Shuffl may assert claims, if they qualify, in small claims court in Seattle, Washington or any United States county where you live or work. In addition, either the Customer or Shuffl may bring a lawsuit solely for injunctive relief to stop unauthorized use or abuse of the Service, or intellectual property infringement (for example, trademark, trade secret, copyright, or patent rights) without first engaging in arbitration or the informal dispute-resolution process described above. If the agreement to arbitrate is found not to apply to you or your claim, you agree to the exclusive jurisdiction of the state and federal courts in King County, Washington to resolve your claim.

No Class Actions

You may only resolve disputes with us on an individual basis, and may not bring a claim as a plaintiff or a class member in a class, consolidated, or representative action. Class arbitrations, class actions, private attorney general actions, and consolidation with other arbitrations aren't allowed. If this specific paragraph is held unenforceable, then the entirety of this "Mandatory Arbitration Provisions" section will be deemed void.

Complete Agreement

These Terms constitute the entire and exclusive understanding and agreement between Shuffl and you regarding the Service, and these Terms supersede and replace any and all prior oral or written understandings or agreements between Shuffl and you regarding the Service. Notwithstanding any language to the contrary therein, no terms or conditions stated in a web portal, or any other Customer order documentation will be incorporated into or form any part of these Terms, and all such terms or conditions will be null and void.

Severability

These Terms will be enforced to the fullest extent permitted under applicable law. If for any reason a court of competent jurisdiction finds any provision of these Terms invalid or unenforceable, that provision will be enforced to the maximum extent permissible and the other provisions of these Terms will remain in full force and effect.

Assignment

You may not assign or transfer the right to use the Service, or Customer’s obligations under these Terms, by operation of law or otherwise, without Shuffl’s prior written consent, except in the case of a merger, acquisition, or sale of all or substantially all assets of Customer, after notice to Shuffl. It shall be Customer’s responsibility to ensure its billing and contact information is current at all times despite any such assignment. Any attempt by you to assign or transfer the right to use the Service, or Customer’s obligations under these Terms, without such consent, will be null and void. Shuffl’s remedy for any purported assignment by the Customer in breach of this section will be, at its election, termination of these Terms upon written notice. Shuffl may freely assign or transfer the Service, or Shuff’s obligations under these Terms without restriction. Subject to the foregoing, these Terms will bind and inure to the benefit of the parties, their successors and permitted assigns.

Notices

Any notice required or permitted under these Terms must be in writing and delivered by email (i) to you at the email address included within your Customer Information or (ii) to Shuffl at billing@shuffl.ai. We may also elect to provide notice to you by delivering a message to one or more Users within the Service if the initial Administrator is no longer a User within Customer’s subscription, and you have not provided us with the identity of a replacement Administrator. You agree that all notices and other communications that we provide to you electronically satisfy any legal requirement that such communications be in writing. The date of receipt will be deemed the date on which such notice is transmitted.

Waiver

Shuffl’s failure to enforce any right or provision of these Terms will not be considered a waiver of such right or provision. The waiver of any such right or provision will be effective only if in writing and signed by a duly authorized representative of Shuffl. Except as expressly set forth in these Terms, the exercise by either party of any of its remedies under these Terms will be without prejudice to its other remedies under these Terms or otherwise.

Publicity

Customer grants us the right to use Customer's organization name and logo as a reference for marketing or promotional purposes on our website and in other public or private communications with our existing or potential customers, subject to Customer's standard trademark usage guidelines as provided to us or published by Customer from time-to-time. We reserve the right to share communications and feedback by you that is written to us over our services in a public or private domain and will treat these with the highest degree of care. We will respect your privacy and not attribute them to specific individuals or your organization in our written communications unless explicit consent and permission is acquired. We will abide by your wishes, however, if you notify us that you would prefer we not use you as a reference. We will then comply and make appropriate remediations within a reasonable time frame to remove all references to any quotes, the Customer's organization name and logo. Unless explicitly stated by a direct quote, any references to your organization or any other organization as listed on our website, or Service should not be interpreted as an endorsement of our Services.

Force Majeure

Neither us nor Customer will be liable by reason of any failure or delay in the performance of any obligations on account of events beyond our reasonable control, which may include denial-of-service attacks, a failure by a Service Provider, strikes, shortages, riots, fires, acts of nature, war, terrorism, and governmental action.

Please note that "Slack", and "Stripe" are trademarks of Slack Technologies, Inc., and Stripe, Inc., respectively, and or their respective affiliates in the U.S. and other countries, and other trademarks and service marks referenced herein are the trademarks of their respective owners. All other trademarks, registered trademarks, product names and company names or logos mentioned in our Site are the property of their respective owners. Reference to any products, services, processes or other information, by trade name, trademark, manufacturer, supplier, or otherwise does not constitute or imply endorsement, sponsorship, or recommendation thereof by us, and vice versa.

Shuffl does not endorse any of these services, and neither Slack, Stripe nor any other companies/services mentioned in these Terms should be interpreted as an endorsement or recommendation of any Shuffl service, and no assumption of any endorsement should be taken from Shuffl’s integration with or use of any of those services.
